Private Event With Like Minds

Description $3,375 Booking $506.25 Gratuity $116.44 ~ 3% Credit card processing fee $3,997.69 Total Due to book event.    This Event Contract states the terms and conditions that govern the contractual agreement between Brooklyn Charm Inc. & Like Minds having its principal place of business at 379 E. Main St, Ventura, CA 93001 and Krista Pavlof (the Client) who agrees to be bound by this Contract. WHEREAS, Like Minds is conducting a Private Event, a Personalized Event, wherein Brooklyn Charm will be providing custom design and jewelry assembling services, on, Sunday February 11th from the approximate hours of 11:00am – 5:30pm (party takes place 1-4:30pm) at 327 Latigo Canyon Rd, Malibu, CA 90265 WHEREAS, the Brooklyn Charm agrees to manage the Event according to the terms and conditions herein. NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties within this Contract, the Brooklyn Charm and the Like Minds (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows: 1. Company’s Duties: Brooklyn Charm shall handle the management and set duties for the Event in the manner described, Within, a 5 – 7 hour time period (including set – up and shut down) unless otherwise noted. These events are designed for one piece of custom designed jewelry made per guest, unless otherwise negotiated in the contract. For this private event the company will be providing all materials (charms and chains) for a finished piece of jewelry for each attendee. The customized jewelry package includes 4 trays, filled with a variety of glass, natural stone, metal charms that are on trend, and aligned with the vision of the event. Two finishes of chain are provided, gold plated, silver tone, in lengths of bracelet, 18″ necklace, and 24″ necklace. The quality of materials are all costume jewelry quality, with the potential to tarnish over time, immediately, or never depending on each individual’s care of the jewelry, and PH levels in their skin. The event team will assist your guests in designing their pieces and then assemble it for them on site, the day of the event. Each guest will have the option to choose up to 9 charms. 2. Client’s Duties: Like Minds will provide a suitable place for Brooklyn Charm to assemble jewelry. The Brooklyn Charm requires adequate lighting and/or access to power supply wherein the company will provide their own auxiliary lighting. Like Minds will also provide adequate tables & chairs. It is agreed to that Like Minds will take reasonable steps to protect Brooklyn Charm’s personnel and equipment during the contracted period. In the event of injuries or damages resulting from insufficient protection on Like Minds’ part, Client will be responsible for paying for all of Brooklyn Charm’s resulting costs (including, but not limited to, insurance deductibles, medical treatment) that are not reimbursed by insurance. Like Minds shall pay any charges imposed by the venue. These charges may include, but are not limited to, parking, use of electric power, etc. 3. Additional Information: Set up and shut down:
Brooklyn Charm’s staff is responsible for the setup and break down of all display items, charm trays and chains. The staff needs at least 1 hour of set up prior to the event and at least 30 minutes at the close of the event. Staff will begin breakdown at 30 to 60 min prior to the event close. An additional $100.00 per 30 minutes will be billed in the event that the staff is unable to start the break down process by the quoted end time of the event. Guest list: Brooklyn Charm staff will keep track of how many guests participate. There is no refund if less people participate than quoted. There is a leeway of 2 participants over the quoted attendees, if more then 2 participate than originally quoted, the client will be billed for the all additional attendees, including the 2 that it went over ($150 per person). Limit is 1 per guest, unless otherwise agreed upon by both parties. Brooklyn Charm is not liable in the event of injury, theft, or loss of property. 4. Compensation: There is a 50% deposit required to secure the event. Security deposit is non-refundable if client cancels within 1 week before event date. A $250 processing fee will not be refunded if canceled after deposit is made. Deposit will be deducted from balance. The remaining balance due must be paid within 3 days before the date of the event. A credit card must be kept on file in the event that any extra fees may incur, (i.e. extra attendees, late shut down). Any remaining balance will be charged on the credit card within 3 business days. Client is responsible for the full amount quoted for the event, 15% gratuity and 3% credit card processing fee. Gratuity: An automatic 15% gratuity fee of the total value of the event will be added to the bill prior to the event, which will go to the staff for their valued services. Any additional tips awarded can be given to the staff directly. Total event fee agreed upon is $3,375 for up to 25 attendees, $506.25 gratuity 3% processing fee $116.44 In the event of non-payment, Brooklyn Charm retains the right to attempt collection through all legal and permissible means. Like Minds will be responsible for all court fees, legal fees, and collection costs incurred by Brooklyn Charm. It is further agreed to and understood that Like Minds shall be charged $50 for each returned check plus a $10 service charge for each collection notice. 5. CANCELLATIONS. This agreement of Brooklyn Charm to perform shall be excused by “acts of God”, catastrophic weather, or any other legitimate condition beyond Brooklyn Charm’s control. If such circumstances arise, all reasonable efforts will be made by Brooklyn Charm to find comparable replacement at the agreed upon fees. In the event Brooklyn Charm is unable to procure a replacement, Like Minds shall receive a full refund of all fees paid to Brooklyn Charm minus the $250 contract fee. Like Minds agrees that in all such circumstances, Brooklyn Charm liability shall be exclusively limited to refunding the fees paid and that Brooklyn Charm shall not be liable for indirect or consequential damages arising from any breach of this contract. This agreement cannot be canceled except by mutual written consent of both Like Minds and Brooklyn Charm. If cancellation is initiated by Like Minds in writing and agreed to by Brooklyn Charm in writing, Like Minds will be required to pay any unrecoverable costs already incurred by Brooklyn Charm (but not more than the total fee agreed upon). If Like Minds cancels within 24 hours of the event, the 50% deposit will not be refunded. And if paid in full, 50% will be refunded. Any cancelations made after the contract has been purchased, a $250 fee will be kept, and the remaining amount paid will be refunded. 6. NO MODIFICATION UNLESS IN WRITING. No modification of this Contract shall be valid unless in writing and agreed upon by both Parties. Like Minds may not transfer this contract to another party without the prior written consent of Brooklyn Charm. 7. APPLICABLE LAW. This Contract and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of California and subject to the exclusive jurisdiction of the federal and state courts located in Venture County, CA. IN WITNESS WHEREOF, each of the Parties has executed this Contract, both Parties by its duly authorized officer, as of the day and year set forth below by purchase of this contract and agreements made through email.
